1. Introduction and Acceptance of Terms
Welcome to the TLC Helpdesk customer support ticketing platform. The Platform is provided by TLC _ HELPDESK ("TLC Helpdesk," "we," "us," or "our").
These Terms of Use ("Terms") govern your access to and use of the Platform and the services, content, and functionality available on or through the Platform.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.
2. Scope of Service
Purpose: The Platform is intended solely for TLC Helpdesk customers seeking technical assistance, support, or information regarding TLC Helpdesk products and/or services as defined in your separate customer agreement.
Customer Agreement: These Terms are supplemental to, and do not supersede, any separate written agreement (e.g., Service Agreement, Master Services Agreement, or End-User License Agreement) you have with TLC Helpdesk. In the event of a conflict between these Terms and your separate agreement, the separate agreement shall control.
Service Availability: While we strive for high availability, the Platform and support services may be unavailable due to maintenance, network issues, or circumstances beyond our control. TLC Helpdesk makes no guarantee of uninterrupted service.
3. User Accounts and Credentials
Account Responsibility: You are responsible for maintaining the confidentiality of any login credentials (e.g., username, password) associated with your TLC Helpdesk customer account and for all activities that occur under your account.
Security: You agree to notify TLC Helpdesk immediately of any unauthorized use of your account or any other breach of security.
Accuracy of Information: You warrant that all information you provide to TLC Helpdesk through the Platform is truthful, accurate, and complete.
4. Submission of Support Tickets (User Content)
Ticket Submission: When you submit a support ticket, you are providing "User Content," which includes descriptions of issues, attachments (screenshots, log files), contact information, and any other data you input.
License to TLC Helpdesk: By submitting User Content, you grant TLC Helpdesk a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display the User Content solely for the purpose of (a) providing and improving our support services; and (b) complying with legal obligations.
Confidentiality: TLC Helpdesk will handle your User Content in accordance with our Privacy Policy and any confidentiality provisions in your primary customer agreement.
5. Prohibited Use and Conduct
You agree not to use the Platform:
Unlawful Use: For any unlawful purpose or in violation of any applicable local, state, national, or international law.
Abuse: To harass, abuse, or harm another person, or to interfere with another user's use of the Platform.
Inappropriate Content: To submit any User Content that is obscene, defamatory, threatening, discriminatory, or otherwise objectionable.
Security Violations: To transmit any computer viruses, worms, defects, Trojan horses, or any other items of a destructive nature.
Resource Misuse: To overload, "flood," "spam," "mailbomb," or "crash" the Platform or unduly burden the resources of TLC Helpdesk.
Impersonation: To impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
TLC Helpdesk reserves the right to suspend or terminate your access to the Platform for any violation of this Section 5.
6. Intellectual Property Rights
Platform Ownership: The Platform, including its design, features, and underlying technology, are owned by TLC Helpdesk and are protected by copyright, trademark, and other intellectual property laws.
No Right Granted: These Terms do not grant you any ownership or rights to the Platform or any intellectual property owned by TLC Helpdesk, except for the limited right to use the Platform as explicitly permitted herein.
Feedback: If you provide TLC Helpdesk with any feedback, suggestions, or comments regarding the Platform or our services ("Feedback"), you grant TLC Helpdesk the right to use and implement the Feedback without obligation or compensation to you.
7. Disclaimers and Limitation of Liability

Disclaimer of Warranties: THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TLC HELPDESK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability: IN NO EVENT WILL TLC HELPDESK, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
